1. To preside at the monthly meetings in the absence of the President.
2. To maintain the annual business records of all Board and membership
meetings including resolutions and by-law changes.
3. To assist the President in the general correspondence and
representative duties as needed.
4. To prepare and mail the monthly meeting agenda to the Board of
Directors.
5. All other duties as delegated by the President.
(b) These duties may be modified at the request of the Board.
SECTION 4: Duties of the Secretary
(a) The duties of the Secretary shall include:
1. To transcribe minutes from each Board meeting and each membership
meeting.
2. To prepare within thirty (30) days of each meeting a summary of the
minutes to be presented to the Board.
3. To prepare and mail general correspondence as directed by the
President.
4. All other duties as delegated by the President.
(b) These duties may be modified at the request of the Board.
SECTION 5: Duties of the Treasurer
(a) The duties of the Treasurer shall include:
1. To provide to the Board a monthly report which includes a summary of
assets, bills paid and balance owing, and any other financial obligations
of the organization.
2. To maintain and monitor the accounts of the organization with the
strictest fiduciary duty.
3. To develop an annual budget by February of each year and to monitor
the overall budget to make sure the organization stays within budget
guidelines.
4. To serve as a member of the Finance Committee and in that capacity,
assist with the preparation of all audits and budget proposals and the
making of all investment decisions.
5. Any other duties as delegated by the President.
(b) These duties may be modified at the request of the Board.
SECTION 6: Duties of the Sergeant at Arms
1. The Sergeant at Arms will be a voting member of The Board of
Directors.
2. The Sergeant at Arms will preside at all meetings to ensure order.
3. The Sergeant at Arms may be called upon to perform other duties by
the President or the Board of Directors.
SECTION &: Duties of the Parliamentarian
1. The Parliamentarian will be a non-voting, non-partisan member of the
officers of The Board of Directors of the Parkmerced Residents’
Organization. Procedural disputes will be arbitrated by the
Parliamentarian.
2. The Parliamentarian shall be responsible for holding (1)
seminar/meeting per year dealing with educating the PRO Board of
Directors and/or General membership on the PRO By-Laws, technical
changes, or legal updates, within Robert's Rules of Order, as amended.
3. The Parliamentarian shall be responsible for reviewing and making
suggested amendments to the PRO By-Laws biannually as a committee report
to the PRO Board, to ensure proper and timely updates are made to the By-
Laws of The PRO.
