
of The PRO members in good standing, each elected for a two (2) year
term to hold office of Director without compensation.
(b) The purpose of The PRO Board of Directors shall be to serve The
PRO members and to work to achieve the purposes and objectives of the
organization.
SECTION 2: Election of Directors
(a) Election of Directors shall take place at the general membership
meeting to be held each October.
(b) The two (2) year terms for office of Director shall be staggered so that
no more than ten (10) Directors are replaced or reelected each year at
the October meeting.
(c) Any member of The PRO in good standing may be nominated for a
Director position.
(d) Nominations of The PRO members for election as a Director shall be
in compliance with the methods established and distributed by the
Nominations Committee of the Board of Directors.
(e) Nomination of The PRO members for election shall open no earlier
than sixty (60) days in advance of the October meeting date and shall
close no later than fifteen (15) days before the October meeting date.
(f) Membership notice of the October meeting shall include Director
Candidate information which sets forth the name, address, length of
Parkmerced residency and a short personal statement submitted by each
candidate.
(g) Members elected to the position of Director in October commence
their two (2) year term the beginning of the calendar year.
SECTION 3: Board Meetings
(a) The Board of Directors shall meet monthly to conduct regular The
PRO’s business.
(b) Special meetings of the Board may be called by any officer of The
PRO or by any two(2)Directors provided that notice of such meeting is
given by telephone or regular mail to all Directors on the Board.
(c) Notice of the meeting time, date, place and agenda will be sent to all
Directors in advance of all regular monthly meetings.
(d) A majority of the actual number of Directors shall constitute a quorum
of the Board for purposes of transacting business.
(e) The Roberts' Rules of Order, as amended, shall govern all The PRO
Board meetings insofar as such Rules are not inconsistent with or in
conflict with these By-Laws. Roberts’ Rules of Order must be “in hand” for
the purposes of making a point of order.
SECTION 4: Replacement of Directors Mid-Term
(a) In the event of a resignation, removal or death of a Director during
