ARTICLE III
MEMBERSHIP MEETINGS
SECTION 1: Regular Meetings
(a) Meetings of members shall be held in the City and County of San
Francisco as may be designated by the Board
of Directors.
(b) Members shall meet at least annually on the third Saturday in
October of each year for the purpose of transacting such proper
business as may come before the meeting, including the election of
Directors for such terms as are fixed in Article IV of these By-Laws.
SECTION 2: Special Meetings
Special meetings of members may be called by the Board of Directors
or by any officer of The PRO so long as due notice is given to all
members.
SECTION 3: Notice of Meetings
(a) Written notice of every regular membership meeting shall be
either personally delivered or mailed to each member The PRO not
less than ten (10) days before the date of the meeting.
(b) The notice shall state the place, date and time of the meeting.
SECTION 4: Quorum
(a) A quorum at any regular membership meeting shall consist of ten
percent (10%) of the current members of The PRO in attendance.
(b) A quorum at any special membership meeting shall consist of five
percent (5%) of the current members of The PRO in attendance.
(c) The members present at a duly called or held meeting at which a
quorum is present may continue to transact business until
adjournment notwithstanding the withdrawal of members resulting in
less than a quorum, provided that continued action is approved by at
least a majority of members of The PRO in attendance at the meeting.
SECTION 5: Roberts' Rules of Order
The Roberts' Rules of Order, as amended, shall govern all The PRO
membership meetings insofar as such Rules are not inconsistent with
or in conflict with these By-Laws. Roberts’ Rules of Order must be “in
hand” for the purposes of making a point of order.
ARTICLE IV
BOARD OF DIRECTORS
SECTION 1: Structure and Purpose
(a) The Board of Directors shall consist of a maximum of twenty (20)
