
annual dues payable to the organization as set forth in Section 2 of
this Article.
(c) Business owners within the Parkmerced district may join The
PRO. Business owners may also be elected to The Board of
Directors with a maximum of two business owners per term. These
“Business Associates” will be voting members. All business owners
may attend meetings, or delegate one (1) person to represent them.
The core resident board may also choose to conduct business in
private with non-residents excluded.
SECTION 2: Annual Dues
(a) The annual membership dues as determined by the Board of
Directors shall be payable to The PRO at the beginning of each
calendar year.
SECTION 3: Voting Rights
(a) All members of The PRO, with the exceptions mentioned in
Section 1 c. above shall have equal voting rights and other rights as
set forth in these By-Laws.
(b) Each member shall have one vote for the purpose of conducting
PRO business including but not limited to the election of the Board of
Directors and the adoption of membership recommendations to the
Board of Directors at the general membership meetings.
SECTION 4: Membership Records
(a) The PRO shall keep written (confidential) records of membership
containing the name, address and other relevant information such as
date of membership renewal for each member of The PRO. Such
records shall be kept at the principal office of PRO and shall be
subject to inspection rights of members as required by law.
Procedures for inspection shall be established by the Board of
Directors of The PRO.
(b) A Copy of the By-laws will also posted on The PRO Website.
SECTION 5: Rights and Obligations of Membership
(a) No member of The PRO shall be personally liable for the debts,
obligations or liabilities of the organization.
(b) Membership and all rights of membership shall automatically
terminate on the occurrence of any of the following events:
1. Voluntary written resignation of a member.
2. Nonpayment of annual dues.
3. Death.
4. Voluntary termination of the tenancy.
5. Participation in or creation of a competitive group.
